PersonaChat Terms of Service

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service.

2. Beta Status

PersonaChat is currently offered as a Beta / experimental service. Features may change, break, or disappear at any time. You understand and accept this risk.

3. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we’ll email you and/or post an in‑app notice 14 days in advance. Your continued use after the effective date constitutes acceptance.

4. Accounts & Security

You agree to provide accurate information (at minimum, a valid email address), keep your credentials secure, and notify us promptly of any unauthorized use.

5. Free Beta & Future Paid Plans

The Service is free during the Beta period. We reserve the right to introduce paid plans with at least 14 days’ written notice. When paid plans launch:

• Fees will be billed via Stripe;
• All fees are non‑refundable except as required by law; and
• Non‑payment may result in suspension or termination.

6. License to PersonaChat

You grant PersonaChat a non‑exclusive, worldwide, royalty‑free license to host, process, and display the content you upload or generate (“User Content”) solely to provide, maintain, and improve the Service (including debugging and, at your request, fine‑tuning models).

7. Ownership of AI Outputs

As between you and PersonaChat, you own all outputs generated from your prompts, subject to third‑party rights and applicable law. PersonaChat claims no ownership in those outputs and will not use them for unrelated purposes without your permission.

8. Acceptable Use

You agree not to:

• Use the Service for illegal, harmful, or deceptive activities;
• Attempt to re‑identify other users or scrape the Service;
• Exceed any rate limits or usage caps we impose (especially on free tiers);
• Reverse‑engineer or interfere with security features;
• Use the Service for life‑critical or regulated advice (medical, legal, financial, etc.).

We may update these rules or apply additional tier‑based limits at any time.

9. Disclaimers

No Professional Advice

PersonaChat and its AI personas provide experimental, informational content only. We do not guarantee the accuracy, completeness, or suitability of any suggestions, and we disclaim liability for actions you take based on them.

As‑Is

The Service is provided “as is” and “as available,” without warranties of any kind.

10. Termination

You or PersonaChat may terminate these Terms at any time for any reason. We may suspend or delete your account immediately if you violate these Terms. Per our Privacy Policy, we delete account data within 7 days and purge chat data immediately upon deletion.

11. Limitation of Liability

To the fullest extent permitted by law, PersonaChat’s total liability arising out of or relating to the Service is limited to the greater of (a) US $100 or (b) the amounts you paid PersonaChat in the 12 months before the claim. We are not liable for indirect, special, incidental, or consequential damages.

12. Indemnity

You agree to indemnify and hold harmless PersonaChat and its affiliates from any claims, damages, and expenses arising out of your use of the Service or violation of these Terms.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict‑of‑laws principles.

13.2 Informal Resolution

Contact us first at privacy@betterlate.dev; we’ll try to resolve the issue informally within 30 days.

13.3 Binding Arbitration

If we can’t resolve it, any dispute will be finally settled by binding arbitration in Richmond, Virginia, administered by the American Arbitration Association under its Commercial Rules. Class‑action waivers apply—you may bring claims only on your own behalf. Judgment on the award may be entered in any court with jurisdiction.

13.4 Opt‑Out

You can opt out of arbitration within 30 days of accepting these Terms by emailing privacy@betterlate.dev with “Arbitration Opt‑Out” and your account email.

14. General

Entire Agreement

These Terms, plus our Privacy Policy, are the entire agreement between you and PersonaChat.

Severability

If any provision is unenforceable, the rest remain in effect.

Assignment

You may not assign your rights; we may assign ours as part of a merger, sale, or other change of control.

Force Majeure

We’re not liable for delays caused by events beyond our reasonable control.
